Terms of Service

The agreement

These Terms of Service (the “Terms”) are an agreement between you and FAI Labs (“we”, “us”), covering fai-labs.com and every application, API, and service we make available through it (the “Services”). If you use the Services on behalf of an organisation, you confirm you are authorised to bind that organisation, and “you” means both of you. If you do not accept these Terms, do not use the Services.

Accounts and access

Parts of the Services require an account, generally through a third-party identity provider. You are responsible for the security of your credentials and for activity that happens under your account, and you agree to tell us promptly at ops@fai-labs.com if you believe an account has been compromised. Access is granted to you personally; do not share it. You must be at least 13 years old to use the Services.

Acceptable use

You agree not to:

• break the law, or use the Services to help someone else do so;
• probe, scan, or test the vulnerability of the Services, or breach or circumvent any security or authentication measure, without our written permission;
• interfere with the Services or place an unreasonable load on them, including through automated scraping or denial-of-service traffic;
• upload malware, or content you have no right to upload, or content that infringes someone else's rights;
• reverse engineer, resell, or sublicense the Services except where the law says we cannot stop you.

Your content

You keep ownership of everything you submit to the Services (“Your Content”). You grant us a limited, non-exclusive licence to host, store, process, and transmit Your Content solely to operate and improve the Services for you. You are responsible for Your Content and for having the rights necessary to submit it.

Our content

The Services, including their software, design, and text, belong to FAI Labs or our licensors and are protected by intellectual property law. We grant you a personal, non-transferable, revocable right to use the Services under these Terms; no other rights are granted. The FAI Labs name and wordmark may not be used without our written permission.

Third-party services

The Services integrate with third-party platforms — identity providers, cloud infrastructure, and similar. Your use of those platforms is governed by their own terms, and we are not responsible for them.

Privacy

Our handling of personal information is described in the Privacy Policy, which forms part of these Terms.

Availability and changes

We may change, suspend, or discontinue any part of the Services at any time. We aim to give reasonable notice of material changes, but we do not promise uninterrupted or error-free operation. We may also update these Terms; the date at the top of this page reflects the current version, and continuing to use the Services after a change means you accept it.

Termination

You may stop using the Services at any time. We may suspend or terminate your access if you breach these Terms, or if we need to for legal or security reasons. Sections that by their nature should survive termination — ownership, disclaimers, limitation of liability, and governing law — do.

Disclaimer

The Services are provided “as is” and “as available”, without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Services will meet your requirements or be uninterrupted, secure, or error-free.

Limitation of liability

To the fullest extent permitted by law, FAI Labs will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, or data, arising out of or relating to the Services. Our total liability for any claim relating to the Services will not exceed the greater of the amount you paid us for the Services in the twelve months before the claim, or one hundred US dollars. Some jurisdictions do not allow these exclusions, in which case they apply to you only to the extent permitted.

Indemnity

You agree to indemnify and hold FAI Labs harmless from claims, damages, and reasonable legal costs arising out of your use of the Services, Your Content, or your breach of these Terms.

Governing law

These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws rules. The state and federal courts located in Delaware have exclusive jurisdiction over any dispute arising from them, and you consent to that jurisdiction.

General

These Terms, together with the Privacy Policy, are the entire agreement between us regarding the Services. If a provision is found unenforceable, the rest stays in force. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
